1. Eligibility

Auravate services are currently offered only to individuals who are 18 years of age or older and legally capable of entering into a binding agreement.

By using our services, you represent that you satisfy these requirements.

Auravate may establish additional eligibility requirements for particular services.

2. What Auravate Is

Auravate provides whole-life coaching, consulting, wellness guidance, accountability, education, planning, and management support.

Depending upon the service purchased, Auravate may help clients evaluate and make progress within areas such as:

Physical wellbeing

Mental wellbeing

Practical wellbeing

Financial wellbeing

Social wellbeing

Environmental wellbeing

Spiritual wellbeing

Fitness and exercise

Nutrition and lifestyle habits

Sleep and recovery

Goal setting and behavior change

Organization and personal systems

Decision-making and prioritization

Accountability

Coordination of third-party services

Personal and professional development

Auravate's role is to help clients understand their circumstances, identify priorities, evaluate options, create plans, coordinate appropriate resources, and take action.

The specific services included in your engagement are determined by the offer, order form, checkout page, service description, proposal, statement of work, or other agreement applicable to your purchase.

If a service-specific agreement conflicts with these general Terms, the service-specific agreement controls with respect to that service.

3. Coaching, Not Licensed Professional Services

Unless expressly stated otherwise in writing, Auravate provides non-clinical coaching, consulting, wellness, fitness, education, and whole-life management services.

Auravate does not provide medical diagnosis or treatment, psychotherapy or mental-health treatment, legal representation or legal advice, tax advice, investment advice, securities recommendations, insurance advice, or other regulated professional services merely by providing Auravate coaching.

Auravate does not replace your physician, psychologist, therapist, dietitian, attorney, accountant, financial adviser, or other licensed professional.

Information provided by Auravate is intended to support education, decision-making, planning, accountability, and implementation.

You remain responsible for determining when licensed professional advice is appropriate.

4. Health and Medical Matters

Auravate may discuss health, wellness, fitness, nutrition, sleep, recovery, laboratory information, medications, supplements, healthcare providers, symptoms, medical conditions, or related topics as part of a client's broader goals.

Such discussions do not create a physician-patient, therapist-patient, or other licensed clinical relationship with Auravate.

Auravate may help you:

Organize health and wellness information

Identify questions to ask a healthcare professional

Understand general educational information

Track habits, goals, and observations

Prepare for appointments

Compare potential resources or providers

Coordinate appointments or services at your direction

Implement lifestyle recommendations provided by appropriate professionals

Maintain accountability around agreed-upon behaviors

Auravate does not independently diagnose medical conditions, prescribe medications, alter prescriptions, or direct you to disregard the advice of a licensed healthcare professional.

You should seek appropriate professional care for medical symptoms, injuries, mental-health concerns, medication questions, or other clinical matters.

5. Laboratory Tests, Bloodwork, Wearables, and Health Data

You may voluntarily provide Auravate with laboratory results, bloodwork, wearable data, body-composition information, fitness information, medication or supplement information, or other health-related information.

Auravate may help you organize, contextualize, track, or formulate questions regarding such information as part of your coaching engagement.

Unless expressly provided by an appropriately licensed professional acting within that professional's scope of practice, Auravate's discussion of laboratory values or health information is educational and coaching-oriented and is not a medical diagnosis or treatment recommendation.

Abnormal, concerning, or clinically significant findings should be reviewed with an appropriate licensed healthcare professional.

Your health and wellness information will be handled in accordance with the Auravate Privacy Policy and applicable law.

6. Fitness and Physical Activity

Some Auravate services may include exercise programming, fitness coaching, movement recommendations, strength training, cardiovascular training, mobility work, or other physical activities.

Physical activity involves inherent risks, including fatigue, soreness, strains, sprains, falls, aggravation of existing conditions, cardiovascular events, and other injuries.

You are responsible for informing Auravate of relevant injuries, limitations, medical restrictions, or changes in your condition that may reasonably affect participation.

You are responsible for exercising within your abilities and stopping an activity if you experience unusual pain, dizziness, faintness, chest discomfort, severe shortness of breath, or other concerning symptoms.

When appropriate, you should obtain clearance from a qualified healthcare professional before beginning or materially changing an exercise program.

Nothing in this Agreement waives liability that cannot lawfully be waived.

7. Nutrition and Supplements

Auravate may provide general education, accountability, meal-planning support, behavioral coaching, or wellness information relating to food, nutrition, hydration, and supplements.

Unless the advice is separately provided by an appropriately credentialed professional acting within the lawful scope of that credential, such information should not be interpreted as medical nutrition therapy, diagnosis, treatment, or a prescription.

You are responsible for discussing material dietary changes, supplements, allergies, medication interactions, pregnancy-related considerations, or medical nutrition concerns with an appropriate healthcare professional when necessary.

8. Financial, Legal, and Other Professional Topics

Whole-life coaching may involve discussion of finances, business, insurance, taxes, contracts, estate planning, legal matters, or other professional subjects.

Auravate may help you organize information, identify priorities, prepare questions, evaluate general options, or locate an appropriate professional.

Unless separately agreed and lawfully provided by a qualified professional, Auravate does not provide legal representation, tax preparation, securities or investment advice, or other regulated professional services.

You remain responsible for obtaining specialized professional advice when appropriate.

9. Concierge and Whole-Life Management Services

Certain Auravate services may include concierge or management support.

Depending upon your service level, Auravate may assist with tasks such as:

Researching service providers

Identifying potential professionals

Scheduling appointments

Coordinating calendars

Organizing information

Following up with providers

Ordering or coordinating products or services at your direction

Creating plans or checklists

Helping manage projects

Communicating with authorized third parties

Tracking completion of agreed-upon actions

Auravate acts as a coordinator and management resource, not as the underlying provider of third-party professional services.

Unless expressly stated otherwise, third-party providers are independent businesses or professionals and are not employees, agents, partners, or representatives of Auravate.

Auravate does not guarantee the availability, quality, licensing, performance, outcome, safety, or conduct of an independent third-party provider.

You remain responsible for deciding whether to hire or use a third-party provider and for reviewing and accepting that provider's own terms, fees, recommendations, and services.

10. Authorization to Coordinate With Third Parties

When you request that Auravate coordinate with a physician, laboratory, fitness professional, financial professional, service provider, family member, assistant, or other third party, you authorize Auravate to communicate information reasonably necessary to carry out your request.

Auravate may require additional written authorization before sharing sensitive personal information.

You may withdraw an authorization prospectively, subject to actions already taken in reliance upon it and applicable law.

11. Client Responsibilities

Auravate is collaborative.

You agree to:

Provide materially accurate information

Communicate relevant changes in your circumstances

Attend scheduled sessions prepared and on time

Participate in good faith

Make your own final decisions

Seek licensed professional advice when appropriate

Use reasonable judgment before implementing recommendations

Follow applicable safety instructions

Respect Auravate personnel and other clients

Protect your account credentials

Use Auravate materials only as authorized

Pay agreed fees when due

You are responsible for your decisions, actions, omissions, and implementation of strategies discussed during coaching.

12. Decision-Making and Personal Agency

Auravate may provide recommendations, options, frameworks, research, accountability, or perspectives.

The final decision remains yours.

You are encouraged to ask questions, challenge recommendations, request additional information, and seek independent professional opinions where appropriate.

Auravate does not guarantee that any particular option is appropriate for every individual or circumstance.

13. Artificial Intelligence and Technology-Assisted Services

Auravate may use artificial intelligence and other technology-assisted systems to support appropriate functions such as organization, summarization, research, analysis, drafting, administrative workflows, content development, and recommendation development.

AI-generated information may be incomplete, inaccurate, or inappropriate for a particular circumstance.

Auravate therefore intends for material client recommendations and coaching decisions to involve human judgment rather than relying solely upon automated output.

Sensitive client information will be handled according to the Auravate Privacy Policy, including Auravate's principles of data minimization, appropriate consent, and controlled access.

14. Privacy and Confidentiality

Auravate treats identifiable client information as private and handles it according to the Auravate Privacy Policy.

Information shared during coaching will not ordinarily be disclosed outside Auravate except:

With your authorization

To service providers reasonably necessary to operate Auravate

To third parties you ask us to coordinate with

When reasonably necessary to process transactions or provide requested services

When required by law, subpoena, court order, or lawful government request

When reasonably necessary to protect legal rights or respond to a security incident

In other circumstances described in the Auravate Privacy Policy

Auravate does not sell identifiable client information or provide identifiable health and wellness information to advertisers for their independent marketing purposes.

Coaching confidentiality is contractual and should not be confused with legally privileged communications that may exist in attorney-client, psychotherapist-patient, or certain other professional relationships.

Communications with Auravate generally are not legally privileged merely because they are confidential.

15. Emergencies and Crisis Situations

Auravate is not an emergency, crisis-response, medical, or mental-health service.

Auravate communications are not continuously monitored.

Do not rely on email, text messaging, client portals, coaching platforms, or scheduled coaching sessions for emergency assistance.

If you believe you or another person is experiencing an emergency or immediate danger, contact appropriate emergency services or an appropriate licensed professional.

16. Scheduling

Sessions must be scheduled through an approved Auravate scheduling method.

Session availability may vary by service level.

Auravate may occasionally need to reschedule a session due to illness, emergency, travel, technology failure, or other circumstances.

When Auravate cancels a session, we will ordinarily offer a reasonable opportunity to reschedule or otherwise provide the service purchased.

17. Client Cancellation and Rescheduling

Unless your specific offer provides a different policy, scheduled individual sessions should be cancelled or rescheduled at least 24 hours before the scheduled start time.

Sessions cancelled with less than 24 hours' notice may be considered used and may not be credited or refunded.

A missed appointment without notice may be treated as a completed session.

Auravate may make reasonable exceptions for emergencies or unusual circumstances at its discretion.

Repeated cancellations or missed appointments may result in modification or termination of the coaching relationship.

18. Fees and Payment

Prices and payment schedules are disclosed before purchase or in your applicable service agreement.

By purchasing a service, you authorize Auravate and its payment processor to charge the applicable amount according to the payment schedule you select.

Auravate currently uses Stripe for payment processing.

You are responsible for applicable taxes or other charges imposed by law unless expressly included in the purchase price.

Failure to make a required payment may result in suspension of services until the account is brought current.

19. Recurring Services and Automatic Billing

Some Auravate services operate as monthly or other recurring subscriptions.

Before you enroll, Auravate will disclose the applicable recurring price, billing frequency, material subscription terms, and cancellation method as required by applicable law.

By enrolling in a recurring service, you authorize Auravate to charge the payment method on file at the disclosed intervals until the subscription is terminated.

Unless a fixed commitment is expressly stated in your offer, recurring services continue until cancelled.

Cancellation stops future renewals or continuous service according to the applicable cancellation terms and law. Cancellation does not ordinarily create a refund for services already provided or a billing period already begun.

Auravate will provide legally required confirmations, notices, and cancellation methods for recurring consumer subscriptions.

20. Cancelling a Subscription

Unless different terms are clearly disclosed before purchase, you may request cancellation of an ongoing Auravate subscription through the cancellation method provided at enrollment or by contacting:

[email protected]

Cancellation will become effective according to the terms disclosed for your subscription and applicable law.

Auravate will not require you to explain why you are cancelling as a condition of cancellation.

We may offer options such as pausing, changing service levels, or modifying your engagement, but accepting an alternative is not required to cancel.

21. Refunds

Unless a specific offer provides a different written refund policy:

Individual Coaching Sessions

A prepaid individual session may be cancelled for a refund or credit before the applicable cancellation deadline, subject to the terms disclosed when purchased.

After the cancellation deadline or after the session has occurred, the session is ordinarily non-refundable.

Monthly Coaching and Concierge Services

Payments for a billing period that has already begun are generally non-refundable except where required by law or expressly stated otherwise.

Cancellation prevents future recurring charges according to the applicable cancellation terms.

Digital Products

Because digital products can generally be accessed immediately, downloadable products, templates, guides, recordings, assessments, courses, and similar digital materials are ordinarily non-refundable after access or delivery unless otherwise stated or required by law.

Group Programs and Events

Refund and cancellation terms for cohorts, group programs, workshops, events, retreats, or similar offerings may vary and will be disclosed with the applicable offer.

Nothing in this section eliminates refund or cancellation rights that cannot lawfully be waived.

22. No Guarantee of Results

Auravate is designed to improve clarity, organization, decision-making, accountability, implementation, and progress.

However, individual outcomes vary.

Auravate does not guarantee:

Weight loss

Muscle gain

Improved laboratory values

Resolution of a health condition

Financial results

Business revenue

Career advancement

Relationship outcomes

Improved mental health

A particular life outcome

Any specific return on investment

Results depend upon numerous factors, including your circumstances, choices, consistency, health, environment, resources, effort, outside professionals, and events outside either party's control.

Testimonials, case studies, examples, or client stories represent individual experiences and do not guarantee that another client will achieve the same result.

23. Intellectual Property

Auravate and Maintain LLC own or license the intellectual property used in Auravate services, including frameworks, systems, methodologies, assessments, worksheets, templates, diagrams, videos, recordings, educational materials, software, written content, branding, processes, and other materials.

Unless otherwise stated, purchasing an Auravate service gives you a limited, personal, revocable, non-exclusive, non-transferable license to use the materials for your own personal purposes.

You may not, without written permission:

Sell or sublicense Auravate materials

Publish or redistribute them

Upload them to public repositories

Use them to train artificial intelligence systems

Remove copyright or proprietary notices

Represent Auravate materials as your own

Reproduce Auravate programs for commercial coaching, consulting, or training

Create substantially derivative commercial products from proprietary Auravate materials

Nothing in this Agreement transfers ownership of Auravate intellectual property to you.

24. Client Materials and Feedback

You retain ownership of original materials you provide to Auravate.

You grant Auravate permission to use those materials to the extent reasonably necessary to provide your services, maintain records, operate authorized technology systems, and fulfill our obligations under this Agreement and the Privacy Policy.

Auravate will not publicly use your name, likeness, testimonial, case study, photographs, identifiable results, or private client story for promotional purposes without appropriate permission.

If you voluntarily provide a testimonial or expressly authorize promotional use, the scope of that permission may be documented separately.

25. Community Standards

If your Auravate service includes a group, cohort, forum, event, community, or other client interaction, you agree to treat participants respectfully and not:

Harass or threaten others

Discriminate unlawfully

Disclose another participant's private information

Record private conversations without appropriate permission

Solicit participants in a disruptive or unauthorized manner

Post illegal, fraudulent, abusive, or harmful material

Misrepresent your identity or qualifications

Auravate may remove content or restrict community access when reasonably necessary to protect participants or the service.

26. Third-Party Products, Professionals, and Services

Auravate may identify or recommend third-party products, professionals, applications, laboratories, supplements, fitness facilities, healthcare providers, software, financial professionals, or other resources.

A recommendation means Auravate believes the resource may be worth considering. It is not a guarantee or warranty.

Third parties remain responsible for their own products, professional judgment, services, representations, pricing, privacy practices, and conduct.

Where Auravate receives compensation, referral fees, commissions, affiliate revenue, or another material benefit connected to a recommendation, Auravate will make disclosures where required by applicable law.

27. Assumption of Responsibility and Inherent Risks

You acknowledge that lifestyle change, exercise, nutrition changes, use of third-party services, and implementation of coaching recommendations can involve risks and uncertainty.

You voluntarily decide whether and how to implement recommendations after considering your individual circumstances.

Nothing in this Agreement is intended to release Auravate from liability that cannot lawfully be released or limited.

28. Limitation of Liability

To the fullest extent permitted by applicable law, Auravate and Maintain LLC will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of Auravate services.

To the fullest extent permitted by law, Auravate's aggregate liability arising from or relating to a particular paid service will not exceed the amount you paid Auravate for that service during the twelve months immediately preceding the event giving rise to the claim.

These limitations do not apply where prohibited by law and do not purport to waive or limit liability for conduct for which liability cannot legally be waived or limited.

29. Technology and Service Availability

Auravate uses third-party technology including payment processors, communications systems, coaching platforms, automation systems, cloud services, and other technology.

Auravate cannot guarantee uninterrupted access to every technology platform.

Temporary outages, maintenance, provider failures, internet disruptions, security incidents, or other technical issues may occasionally affect services.

Auravate will make commercially reasonable efforts to restore or provide reasonable alternatives for material service interruptions within its control.

30. Suspension and Termination by Auravate

Auravate may suspend or terminate services when reasonably necessary because of:

Nonpayment

Material violation of this Agreement

Harassment, threats, or abusive conduct

Fraud or misuse

Repeated failure to participate in the agreed service

A conflict of interest

A situation outside Auravate's reasonable scope of competence

A determination that continued coaching is inappropriate or unsafe

Legal or regulatory requirements

Conduct materially harmful to Auravate, its personnel, clients, or third parties

Where reasonable under the circumstances, Auravate will provide notice and an opportunity to address the issue before termination.

If Auravate terminates a prepaid engagement without cause unrelated to your conduct, Auravate may provide a prorated refund for materially undelivered services where appropriate.

31. Electronic Communications and Signatures

You agree that Auravate may conduct transactions and provide agreements, confirmations, notices, invoices, and other records electronically where permitted by law.

Your electronic acceptance, electronic signature, checkout confirmation, or other affirmative electronic action may constitute your agreement to these Terms.

You are responsible for maintaining a current email address and contact information with Auravate.

32. Changes to This Agreement

Auravate may update these Terms to reflect changes in services, technology, law, or business practices.

Material changes affecting an existing paid engagement will be communicated through an appropriate method.

Changes will generally apply prospectively.

Where applicable law requires affirmative consent to a material change, Auravate will obtain that consent.

33. Good-Faith Dispute Resolution

If a disagreement arises, you and Auravate agree to first make a reasonable good-faith effort to resolve the matter directly.

Before filing a lawsuit, either party is encouraged to provide written notice describing the dispute and requested resolution and allow the other party a reasonable opportunity to respond.

Nothing in this section prevents either party from seeking urgent legal relief when necessary or exercising rights that cannot legally be restricted.

34. Governing Law and Venue

This Agreement is governed by the laws of the State of Minnesota, without regard to conflict-of-law principles, except where mandatory consumer-protection laws require otherwise.

To the extent a dispute may lawfully be subject to an agreed venue, disputes arising from this Agreement will be brought in an appropriate state or federal court having jurisdiction in Minnesota.

Nothing in this Agreement deprives a consumer of mandatory rights provided by applicable law.

35. No Waiver

A failure by Auravate to enforce a provision of this Agreement on one occasion does not waive the right to enforce that provision later.

36. Severability

If a court or other competent authority determines that a provision of this Agreement is invalid or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed where appropriate.

The remaining provisions will continue in effect.

37. Entire Agreement

This Agreement, the Auravate Privacy Policy, your applicable order form, checkout terms, service description, and any signed service-specific agreement constitute the agreement between you and Auravate concerning the applicable services.

They replace prior discussions or representations concerning those services except where expressly incorporated in writing.

38. Order of Precedence

If documents governing your engagement conflict, the following order generally applies:

A specifically negotiated and signed client agreement or statement of work

The applicable offer, order form, or service-specific terms

These Terms of Service and Coaching Agreement

The Auravate Privacy Policy for matters concerning privacy and data handling

General website or marketing materials
